TERMS + CONDITIONS

Section 1. Scope of Validity
These General terms and conditions of sale of Sun Ya Lotus Int. Co., Ltd. (the “Terms and Conditions”) apply to and form an integral part of all quotations and offers made by Sun Ya Lotus Int. Co., Ltd., all acceptances, acknowledgements and confirmations by Sun Ya Lotus Int. Co., Ltd. of any orders by Consumer (end users within the meaning of 13 of the German Civil Code (BGB) ) and any agreements (“Agreements”) regarding the sale by Sun Ya Lotus Int. Co., Ltd. and purchase by consumer of goods and services (“Products”), unless and to the extent Sun Ya Lotus Int. Co., Ltd. explicitly agrees to otherwise in writing. This also includes Cooperative Purchasing (“Einkaufsgemeinschaften”), whose members solely consist of consumers.

Section 2. Orders, Contract
1) You can place orders by e-mail or telephone. Our presentation of goods is not a legally binding offer. The conditions for our goods are non-binding.

In the case that we offer an automated ordering process online on our website applies in addition: The offer comes from you, the Buyer, by submitting your order (clicking on the button "order requiring payment" or on "Buy").
In the event that you submit orders by distance communication (e.g. by letter, from catalog, phone calls, by fax, e-mail or sent us messages by mobile service (SMS)), a contract is concluded with Sun Ya Lotus Int. Co., Ltd. by sending our order confirmation, which we will send you via e-mail, fax or mail, or if we make the delivery/shipping immediately after ordering. The confirmation of receipt of your order is still no order confirmation.

2) It can not be excludes that a product already is sold out at the time of order and therefore is no longer in stock or no longer available in the required quantity. Our "offers" (= presentation of goods) are therefore each "only valid while stocks last." We will inform you immediately. In this case a contract is not materialize.

Section 3. Pricing, Shipping charges, customs
1) The amount of payment depends on the current price list, which you can view on our website or that can be found there each in near by the products shown. The prices are inclusive of sales tax at the statutory rate plus shipping costs, the amount of which you can see the details on our website.

2) If shipping to foreign countries the Purchaser / end user has to pay any customs and other levies that apply to the export and import of products.

Section 4. Payments
1) Unless otherwise agreed in writing, the Purchaser / end user has to pay the entire amount due plus shipping and any export customs duties or similar taxes before delivery (payment in advance).

2) In the event of any default by purchaser in the payment of any fees or charges due, or any other default by purchaser, Sun Ya Lotus Int. Co., Ltd. shall have the right to refuse performance and/or delivery of any Products until current payments have been paid. Besides interest on late payments of legally certain height the buyer has to pay EUR 5.00 (Europe) /US-$ 5.00 (America, Asia) for each reminder by Sun Ya Lotus Int. Co., Ltd. Sun Ya Lotus Int. Co., Ltd. may also suspend, delay or cancel any delivery or any other performance by Sun Ya Lotus Int. Co., Ltd. without any liability towards the purchaser. Such rights of Sun Ya Lotus Int. Co., Ltd. shall be in addition to, and not in lieu of, any other rights and remedies available under the Agreement or at law.

Section 5. Delivery, Quantities
1) Unless otherwise agreed in writing, deliveries are carried out after receipt of payment in the total amount referred to in 4 subsection 1. Sun Ya Lotus Int. Co., Ltd. agrees to use commercially reasonable efforts to meet the delivery dates communicated or acknowledged by it on the condition that purchaser provides all necessary order and delivery information sufficiently prior to such delivery date.

2) Purchaser will give Sun Ya Lotus Int. Co., Ltd. written notice of failure to deliver and 30 (thirty) days within which to cure. If Sun Ya Lotus Int. Co., Ltd. does not deliver within such 30 (thirty) day period, Purchaser may cancel the affected and undelivered portions of the Agreement, provided that Sun Ya Lotus Int. Co., Ltd. is responsible for the delay. Purchaser’s claim to damages due to failure to delivery and delay as well as claims for damages in lieu of performance shall be governed by the provisions set out in 10.

Section 6. Operating trouble, Force Majeure
1) Sun Ya Lotus Int. Co., Ltd. shall not be liable for any failure or delay in performance if:

such failure or delay results from interruptions in the Product manufacturing process, however, this shall not apply in cases of gross negligence or intent; or
such failure or delay is caused by Force Majeure as defined below and by law.

In case of such a failure as set forth above, the fulfillment of the relevant part(s) of the Agreement will be suspended for the period such failure continues, without Sun Ya Lotus Int. Co., Ltd. being responsible or liable to Purchaser for any damage resulting therefrom.

2) The expression "Force Majeure" shall mean and include any circumstances or occurrences beyond Sun Ya Lotus Int. Co., Ltd.´s reasonable control - whether or not foreseeable at the time of the Agreement - as a result of which Sun Ya Lotus Int. Co., Ltd. cannot reasonably be required to execute its obligations including force majeure by one of Sun Ya Lotus Int. Co., Ltd.´s suppliers.

3) In the event that the Force Majeure extends for a period of 3 (three) consecutive months (or in the event that the delay is reasonably expected by Sun Ya Lotus Int. Co., Ltd. to extend for a period of 3 (three) consecutive months), Sun Ya Lotus Int. Co., Ltd. shall be entitled to cancel all or any part of the Agreement without any liability towards Purchaser.

Section 7. Retention of Title
1) Products shall remain Sun Ya Lotus Int. Co., Ltd.´s property until the payment of all claims in respect of the business relationship with the Purchaser, including any future claims. The retention of title shall also extend to any Products delivered by way of exchange.

2) If the Products under retention of title should be processed, mixed or combined in the meaning of 947, 948 and 950 of the German Civil Code (BGB) with other items that do not belong to Sun Ya Lotus Int. Co., Ltd., Sun Ya Lotus Int. Co., Ltd. shall have a right to co-ownership of the new item in the same ratio as that between the value of the Products under retention of title, including VAT, and the value of the other items processed or combined at the time of processing or combination. Purchaser shall store the item on behalf of Sun Ya Lotus Int. Co., Ltd. free of charge.

Section 8. Warranty
1) Sun Ya Lotus Int. Co., Ltd. warrants that under normal use in accordance with the applicable user manual the Products shall be free from defects in material or workmanship and shall substantially conform to Sun Ya Lotus Int. Co., Ltd.´s specifications for such Product, or such other specifications as Sun Ya Lotus Int. Co., Ltd. has agreed to in writing, as applicable.

Note: Please keep in mind that natural products can often have variations in scent, color or consistency. The ideal storage temperature for our cosmetics is average or slightly cool room temperature: 5° C - 25° C (= 41° F - 77° F). Do not refrigerate, store in direct sunlight or in a range of radiant heat. Protect from frost.

If the Product is defective and/or is not substantially conforming with the specifications, Sun Ya Lotus Int. Co., Ltd. shall have the duty, but also the right, to - at Sun Ya Lotus Int. Co., Ltd.´s option - either replace or repair the Product free of charge within a reasonable period of time. The non-conforming or defective Products shall become Sun Ya Lotus Int. Co., Ltd.´s property as soon as they have been replaced or credited.

If replacement or repair fails, Purchaser may cancel the Agreement or reduce the purchase price accordingly. Claims for damages shall be governed by 9.

2) Notwithstanding the foregoing, Sun Ya Lotus Int. Co., Ltd. shall have no obligations under warranty if the alleged defect or non-conformance is found to have occurred as a result of environmental testing, misuse, use other than as set forth in the user manual, neglect, accident, or as a result of improper repair, alteration, modification, storage, transportation or improper handling by the Purchaser or by third parties or if the usability is impaired only slightly.

3) Warranty claims in any case are subject to limitation 1 (one) year after delivery.

Section 9. Limitation of Liability
1) Sun Ya Lotus Int. Co., Ltd. is liable, unless an exclusion of liability is not legally possible, under the Product Liability Act, in case of gross negligence, willful misconduct, violation of life, body or health or in the event of a breach of essential contractual obligations.

2) Where an exclusion of liability is possible, the liability for a breach of fundamental contractual obligations is limited to the typical foreseeable damage and to an amount of EUR 1,000,000.00 (Europe) US-$ 1,000,000.00 (America, Asia).

Minor damages, which are irrelevant in relation to the purchase price, are excluded.

3) The foregoing provisions shall not imply any change in the burden of proof to Purchaser`s disadvantage.

4) To the extent that Purchaser is entitled to Claims for Damages according to this 9, any such Claim for Damages shall be subject to limitation of time pursuant to the limitation of time period set out in 8 subsection 3. In the event of Claims for Damages based on the Product Liability Act, the statutory provisions governing the limitations of time period shall apply.

5) If liability of Sun Ya Lotus Int. Co., Ltd. is excluded or limited, this also applies to the personal liability of our employees, workers, employees, representatives and agents.

Section 10. Data protection, Solvency Check and Credit Assessment
1) Personal data of Purchaser will be treated in compliance with the effective provisions of the laws on data protection. Sun Ya Lotus Int. Co., Ltd. is the “responsible entity.” Sun Ya Lotus Int. Co., Ltd. or any other service provider commissioned by Sun Ya Lotus Int. Co., Ltd. will store and process personal data, particularly address and order data, for the execution of the business transactions.

2) Purchaser agrees to that Sun Ya Lotus Int. Co., Ltd. provides the SCHUFA Holding AG Kormoranweg 5, 65201 Wiesbaden, Germany and/or other credit agencies with data to perform solvency check and credit assessment. Sun Ya Lotus Int. Co., Ltd. will use data Purchaser has given in the course of initiation and execution of business transactions. This also applies to Purchaser who is based outside of the European Union. Purchaser may revoke his consent with effect for the future.

Sun Ya Lotus Int. Co., Ltd. may provide to the credit agency information and data concerning Purchaser´s behavior that is not according to the contract.

Sun Ya Lotus Int. Co., Ltd. will transfer such data only if such a transfer is admissible after balancing all relevant interests.

Purchaser can require information from the credit agency about all stored date concerning Purchaser.

Section 11. Assignment, Setting-off
1) Purchaser shall not assign any rights or obligations under the Agreement without the prior written consent of Sun Ya Lotus Int. Co., Ltd.

2) Purchaser shall have no right to withhold or reduce any payments or to offset existing and future claims against any payments due for Products sold under the Agreement or under any other agreement that Purchaser may have with Sun Ya Lotus Int. Co., Ltd. and agrees to pay the amounts hereunder regardless of any claimed offset which may be asserted by Purchaser or on his behalf. However, Purchaser shall have the right to offset counter-claims that are undisputed by Sun Ya Lotus Int. Co., Ltd. or which have been established through a non-appealable judgement.

Section 12. 語言：
These General Terms and Conditions have been made in the English and in the German language. Both versions are authentic. In case of discrepancy between the two versions the wording of the German version shall prevail, unless the English version contains German terms in brackets.

Section 13. Applicable law
All offers, acceptings, confirmations and Agreements and any disputes arising from this are governed by and construed in accordance with the laws of Germany. The United Nations Convention on Contracts for the International Sale of Goods shall not apply.

Section 14. Miscellaneous
1) In the event that any provision(s) of these General Terms and Conditions is or shall be held invalid, void or unenforceable under a final court decision or by any future legislative or administrative action the remaining provisions shall remain unaffected fully effective.

2) If any regulation of these General Terms and Conditions or another agreement reached between the parties due to the fact of the agreed scope is or becomes invalid, the agreed scope is to be adjusted to the extent permitted by law.

3) The failure on the part of either party to exercise, or any delay in exercising, any right or remedy arising from the Agreement shall not operate as a waiver thereof. Nor shall any single or partial exercise of any right or remedy arising there from preclude any other or future exercise thereof or the exercise of any other right or remedy arising from the Agreement or from any related document or by law.

第一條適用範圍

除另經本公司（下稱「本公司」）明確之書面同意外，本公司線上購物一般條款（下稱「本條款」）適用於本公司之所有報價、要約，及本公司對消費者（包括但不限於中華民國消費者保護法第二條第一款所定義之消費者）所下訂單之承諾、收受、確認，與所有本公司所銷售、消費者所購買之產品與服務（以下合稱「本產品」）。本條款構成上述報價、要約、承諾、承認、確認、買賣交易之一部分。

請仔細閱讀本條款，您對於本網站之任何使用行為，以及任何透過電子郵件、電話或網站購買產品之行為，均視為您已同意本條款，並應遵守本條款之各項約定。

任何透過本網站之購買行為，均視為您向本公司聲明您為年滿二十歲之成年人，或您雖為未成年人，但您的監護人已閱讀並同意本條款之內容。

第二條　訂單及契約

(1) 您可以透過電子郵件、電話或於本網站下訂單。本公司於網站上刊登產品並不構成有法律拘束力的要約，所有產品的狀態均不具有拘束性。

- 倘本公司於網站上提供線上自動化訂購流程，則下列條款亦須併予適用：

一旦您點擊「付款」或「購買」之按鈕，即視為您向本公司發送購買產品之要約，並受其拘束。

此時，您的訂單尚須經本公司同意接受後，始為成立。本公司保留接受或拒絕訂單之權利。經本公司以電子郵件、傳真或信件之方式寄送訂單確認單給您，或本公司於您下訂單後立即出貨者，您的訂單及雙方間之買賣契約始成立。

(2) 本公司刊登於網站上之產品有可能於您下訂單時已經銷售完畢且無存貨，或存貨不足您所訂購之數量，因此，本公司產品刊登之效力係以存貨充足為條件。當有產品銷售完畢、無存貨或存貨不足之情形時，本公司將立即通知您，但本公司並不因此負擔任何責任。

第三條取消訂單

除本條款另有規定之情況外，任何經本公司同意接受之訂單均不得取消。
您可以無條件於收受訂購之商品後七日內（退貨期間）解除買賣契約。如您欲解除買賣契約，您必須寄送書面通知予本公司，並於上述退貨期間內退還相關產品至下列地址：

當您退還產品時，必須附具下列資訊：
(a) 訂單編號。
(b) 退貨清單及產品明細。
(c) 收據(發票)及原包裝。
(d) 其他本公司於合理範圍內要求您所提供之文件或資訊。

取消訂單之後續處理

取消訂單後，必須退還彼此所收受之產品/成品及其他任何利益（如孳息）。

如您未能退還所收受之產品/成品及其他利益（如孳息）、或僅退還部分、或退還物有品質惡化、價值減損之情形，你仍應支付相關產品之貨款。如您使用訂購產品之程度已超出試用產品性質及功能之範圍(亦即超出一般情況下於店面可能合理試用各商品之程度)時，您仍應支付該商品之貨款。

您必須負擔退還產品予本公司之運費，並應採行合理之措施確保該產品於運送中不受損害。

第四條售價、運費及關稅

(1) 產品訂價依訂購當時之價目表，您可於本網站以及各產品網頁查看訂價。本產品之訂價包含法定之營業稅及運費，詳細金額可於本網站上查閱。

(2) 如消費者要求本公司寄送產品至國外，則消費者必須自行負擔因出口或進口商品所生之任何關稅及其他稅捐。

第五條 付款

(1) 除另有書面約定外，您必須於出貨前付清所有價款、應負擔之運費、出口關稅及其他稅捐款項全額(即應先付款)。

(2) 倘您有任何欠款或有其他不履行契約之情形，本公司有權於全部款項付清前拒絕履約或出貨。

除法定之遲延責任外，本公司每次催告你付款或履行契約義務時，您均須支付五歐元（歐洲地區）/五美元（美國及亞洲地區）予本公司。本公司並得暫緩、延遲或取消出貨或其他履約行為，且因而對您負擔任何責任。

本公司之上述權利乃係獨立於其他契約或法律所賦予之權利以外，且不被其他契約或法律所賦予之權利所取代。

第六條　交貨及數量

(1) 除另有書面約定外，本公司於收受第五條第(1)款之應付款項全額後始出貨。倘您於交貨期日前充分提供必要之訂購及送貨資訊，則本公司承諾盡商業上合理之努力，於約定或承諾之交貨日期出貨。

(2) 當發生遲延交貨之情形時，您應以書面通知本公司，並給予本公司公司三十日之期間改善。倘本公司仍未於此三十日期間內交貨，您可以取消訂單。有關您因遲延交貨之損害賠償請求，以及不履約之損害賠償權依第十條之規定辦理。

第七條營運障礙及不可抗力事件

(1) 本公司就下列情形所造成之無法履約或遲延履行無須負責：

- 除有重大過失或故意之情形，任何因產品生產障礙所致之無法履行或遲延履行；

- 因以下不可抗力事件或其他法定不可抗力事件所造成之無法履行或遲延履行。

本公司於造成無法履約或履約遲延之情形排除前，有權暫停履行相關之契約義務，且無須負擔違約責任。

(2) 「不可抗力事件」包含所有超出本公司合理控制之情況或事變（不論於契約成立時是否可預見），因此導致無法合理期待本公司履行契約義務，包括本公司之供應商發生之不可抗力事件。

(3) 倘若不可抗力事件持續達三個月（或本公司合理預估將遲延履約達三個月），本公司有權終止契約之全部或一部，且無須對消費者負擔賠償責任。

第八條產品所有權之保留

(1) 於您付清所有產品款項或完全履行契約義務前，產品之所有權仍屬本公司所有。本項規定亦應適用換貨、產品交換之情形。

(2) 倘所有權仍屬本公司之產品因其他動產附合或混合（依據中華民國民法第812條及813條之定義）致其所有權不再屬於本公司，本公司有權依照該產品及其他附合或混合之動產於附合或混合時之價值，按比例共有附合或混合之新動產。消費者必須無償代管該物。

第九條保證

(1) 本公司保證產品於依相關之使用說明正常使用下，無任何材料上或製造上之缺失，且各產品基本上均符合本公司所訂之商品規格或其他本公司另行以書面承諾之商品規格。

請注意：天然產品如有氣味、顏色、濃度不同之情形，均屬正常。本公司化妝品之最適存放溫度為攝氏5度至25度間（華氏41度到77度）之均溫或稍涼之室溫。請勿將商品冷藏，並存放於陽光無法直射之處，或避免以微波加熱防止結霜。

若產品有瑕疵或不符產品規格之情形，本公司有權利及義務於合理期間內免費更換或修補該產品，本公司可自行決定採用換貨或維修之方式補正產品瑕疵。本公司於換貨後，該有瑕疵或不符規格之產品即歸本公司所有。

倘若本公司未能於合理期間內換貨或修補瑕疵產品，消費者得取消訂單或請求減少價金。消費者之損害賠償請求應依第十條之規定辦理。

(2) 儘管本公司有前述之擔保責任，惟如商品瑕疵或不符規格係因環境測試、濫用、或以使用說明所列方法以外之方式使用、或因過失、意外所致，或係因你不當之修理、變更、修改、儲存，或因運輸或因您或第三人之不當操作所致，或其可用性僅受輕微影響者，本公司均不負責。

第十條責任限制

(1) 除法律所不容許排除責任之情形外，本公司僅就重大過失、故意不法行為、對生命、身體、健康之侵害或對契約主要義務之違反負責。

(2) 本公司就違反契約義務之賠償範圍僅限於可預見之損害，且賠償總額之最高上限為(歐洲) 1,000,000.00.歐元/(美國、亞洲) 1,000,000.00.美元。與買賣價金無關之輕微之損害不包括在內。

(3) 前揭條款均不代表任何對消費者不利之舉證責任變更。

(4) 在任何情況下，本公司就所有與購買商品有關或因購買商品而生之附隨損害、間接損害、特別損害及任何懲罰性違約金，均不對消費者負擔賠償責任。

(5) 上述之責任限制條款亦適用於本公司之員工、代表人、代理商應負之責任。

第十一條資訊保護、償付能力查核及信用評估

(1) 本公司將依個人資料保護法規定之方式利用消費者之個人資料，包含姓名、地址、電話、生日、電子郵件信箱、信用卡號、性別（下稱「個人資料」）。本公司將蒐集您自願提供之個人資料，並將個人資料為供以下之目的利用：
(a) 完成與您之間的交易。
(b) 推廣本公司之商品及服務。
(c) 了解及分析本公司之銷售、消費者之需求及喜好。
(d) 開發、提升品質、行銷並提供符合消費者需求之商品及服務。
(e) 進行換貨或退貨。
(f) 改進本網站、資（通）訊與資料庫管理。
(g) 回應需求及抱怨。

本公司將盡合理之注意義務，以確保個人資訊之安全，並可能將個人資料提供予本公司之子公司、包商或其他提供本公司服務之廠商。

(2) 您有權為下列行為：

(a) 要求查詢個人資訊。
(b) 要求複製個人資訊。
(c) 要求補充或更正個人資訊。
(d) 要求停止處理、蒐集或利用個人資訊。
(e) 於任何時間以電子郵件、傳真或信件之方式要求刪除個人資訊。

(3) 您同意本公司得提供個人資料予SCHUFA（址設Kormoranweg 5, 65201 Wiesbaden, Germany）及其他信用調查機構，以便進行償付能力查核及信用評估。此對於歐盟以外之消費者亦一體適用。

本公司得提供未載於契約而與消費者之行為相關之個人資料及數據予信用調查機構。本公司僅得衡量相關利益後，提供個人資訊予該等機構。您亦得向信用調查機構請求所有與您相關之個人資料。

第十二條　轉讓、抵銷

(1) 除經本公司書面同意外，消費者不得轉讓契約之任何權利義務予他人。

(2) 您無權扣留或減少任何應支付予本公司之款項，亦無權以現在或未來之請求權、因購買產品而生、或其他雙方間合約之任何款項主張抵銷；且您同意縱使主張抵銷、或他人代您主張抵銷權，您仍應全數支付應支付予本公司之款項。然而，若本公司就抵銷權之行使無異議，或經確定判決，您有權主張抵銷。

第十三條準據法及管轄

任何要約、承諾、確認及契約，及任何因此所生之爭議，均應以中華民國之法律為準據法。如有爭議而有涉訟必要時，雙方同意台北地方法院有非專屬之管轄權。

第十四條其他

(1) 因經法院終局裁判認定、或因未來之立法或行政命令之頒布，而致本條款中之任一條款有無效或無法執行之情形時，其他條款仍不受影響而有效。

(2) 若本條款或雙方間其他契約之條款因合意事項而導致無效時，則該合意事項圍應修正為準據法所許可者。

(3) 任一方未能行使或遲延行使因契約所生之任何權利或主張損害賠償，均不應被視為放棄該權利或損害賠償。行使因此而生之任何單一或部分之權利或請求部分損害賠償，亦不應視為排除其他未來可能之權利或其他因契約或任何相關文件所生之權利及損害賠償。
